Welcome to Whynote — AI Note Taker (the "App"). Please read these Terms of Use ("Terms") carefully. They set out the legal terms and conditions that apply when you use the App and any related content, software, and services (collectively, the "Services") provided by 42apps LLC ("we", "us", or "our").

1. Acceptance of Terms

By downloading, installing, or using the App, you agree to be bound by these Terms. No account creation, payment, or signature is required — your use of the App constitutes your acceptance. If you do not agree to these Terms, please do not download or use the App.

2. The App Is Free

Whynote is currently offered free of charge on both macOS and iOS. There are no subscriptions, no in-app purchases, no auto-renewing fees, and no payment is required to download or use the App.

We reserve the right to introduce paid features, premium tiers, or subscriptions in the future. If we do, we will publish updated Terms describing the pricing model, billing terms, and cancellation rights before any charge is made, and any paid features will be clearly identified inside the App. Your continued use of any newly introduced paid feature will be subject to your acceptance of those updated Terms.

3. Privacy Policy

Your use of the App is subject to our Privacy Policy, which describes what data we process, the third-party subprocessors involved (including the OpenAI GPT API for transcription and summarisation), and how your information is stored. Please review the Privacy Policy carefully before using the App.

4. Acceptable Use

You agree to use the App only for lawful purposes and in compliance with all applicable laws and regulations, including laws governing the recording of audio and the privacy of others. You are solely responsible for the content you record, transcribe, or otherwise process using the App, and for obtaining any consent required from third parties before recording them.

5. Proprietary Rights

All intellectual property rights in the App, the Services, and any associated content (other than content you provide) are owned by 42apps LLC or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal or internal business use, subject to these Terms.

6. Disclaimer and Limitation of Liability

The App is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. AI-generated transcriptions, summaries, and other outputs may contain errors and should not be relied on for critical decisions without independent review. To the maximum extent permitted by law, 42apps LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the App.

7. Modification of Terms

We may modify these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and post the revised Terms on the App or our website. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.

8. Termination

We reserve the right to suspend or discontinue the App, or your access to it, at any time and for any reason, with or without notice. You may stop using the App and uninstall it at any time.

9. Governing Law

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved in the competent courts of Almaty, Kazakhstan.
